HEDIN HMC MOTOR COMPANY AB

Hedin Group entered a SPA in 2020 regarding the acquisition of 100% of the shares in Ford Motor Company Sverige AB, with a transaction date of January 4, 2021. The acquisition means that Hedin Group through Hedin HMC Motor Company AB will be responsible for the import and distribution of personal and light transport vehicles, as well as distribution of accessories and spare parts for the Swedish market.

The acquisition comes at a time when Ford is launching several electrified models for both passenger cars and light transport vehicles, with a plan that all passenger cars will be zero-emission compatible or Plug-in Hybrids by mid-2026 and fully electrified by 2030.

Previously announced agreement with Volkswagen with joint production of light transport cars, EV:s and autonomous cars provides good conditions for growth in the Swedish market.

The organization with Ford experience follows and is planned to be strengthened further to support established growth plans.

Historically, the development of Ford sales has taken different directions. Over a 10-year period, passenger car sales have developed negatively from a 6.2% market share to end in 2020 with 5,899 registered passenger cars and a 2.02% market share (-0.55% vs 2019). For most of the year, Ford lacked rechargeable models where the market increased to 32.2% (vs. 11.3% in 2019) in a total market of 292,024 registered passenger cars.

Light transport vehicles have developed positively over the past 10 years and went from a market share of 8.19% to the end of 2020 with 5,257 registered light transport vehicles and 16.9% (+ 1.4% vs 2019) market share in a total market of 31 015 registered light trucks.

The prospects and conditions to grow the business cost-effectively and reach a market position in line with Ford's performance in Europe and thus reach a market share of 6% for passenger cars and a leading position on light transport vehicles with> 25% market share. The basis is proximity and knowledge of the local market, short decision paths, upcoming model programs for passenger and light transport vehicles and the development of both organization and the network.
